These Terms of Service ("Terms") govern your access to and use of Moddow's websites, applications, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Moddow provides software tools for small and medium businesses, including workspace features for operations such as menus, inventory, chatbots, and related modules. We may add, change, or remove features; we will try to minimize disruption and may give notice for material changes where appropriate.
2. Accounts and access
- You must provide accurate information and keep your login credentials secure.
- Organizations and businesses may have multiple users; owners and admins control invitations and roles within the product where supported.
- You are responsible for activity under your account unless you have notified us of unauthorized use.
3. Customer data
You retain rights to data you submit to the Service ("Customer Data"). You grant Moddow a license to host, process, and display Customer Data only to provide and improve the Service as you instruct. You are responsible for the legality of Customer Data and for obtaining necessary consents from your end users where required.
4. Acceptable use
You agree not to:
- Violate applicable laws or third-party rights.
- Upload malware, probe or scan systems without authorization, or disrupt the Service.
- Use the Service to send spam or deceptive communications.
- Attempt to access other customers' data without permission.
- Reverse engineer the Service except where permitted by law.
5. Third-party services
The Service may integrate with third parties (for example identity providers, analytics, or messaging). Their terms and privacy policies apply to those integrations.
6. Fees and trials
Paid plans, billing cycles, and taxes will be described at checkout or in a separate order. Unless stated otherwise, fees are non-refundable except as required by law or as we specify in writing.
7. Intellectual property
Moddow and its licensors own the Service, including software, branding, and documentation. Except for the rights expressly granted in these Terms, no rights are transferred to you.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODDOW AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MODDOW FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100), IF YOU HAVE NOT PAID ANY FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnity
You will defend and indemnify Moddow against claims arising from Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights, subject to our prompt notice and reasonable cooperation.
11. Suspension and termination
We may suspend or terminate access for breach of these Terms or risk to the Service. You may stop using the Service at any time. Provisions that by nature should survive will survive termination (including ownership, disclaimers, limitation of liability, and governing law).
12. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules, unless mandatory consumer protections in your country say otherwise. Courts in the Philippines have exclusive jurisdiction, subject to mandatory rights you may have in your home country.
13. Changes to the Terms
We may modify these Terms. We will post the updated Terms and revise the effective date. If changes are material, we may provide additional notice (for example by email or in-product). Continued use after the effective date constitutes acceptance of the updated Terms.
